Terms of Service

1. Acceptance of Terms

By accessing or using Archon ("the Service"), operated by Regnor Systems ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

Archon is an AI-powered platform that generates, manages, and facilitates approval of Standard Operating Procedures (SOPs). The Service includes SOP generation from text and voice input, company memory (RAG), compliance checking, gap detection, approval workflows, and document export.

3. Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • One person or organization may not maintain more than one free account.
  • You must be at least 18 years old to use the Service.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service.
  • Use automated tools to scrape, crawl, or extract data from the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Use the Service to generate content that is harmful, misleading, or violates third-party rights.
  • Resell or redistribute the Service without our written consent.

5. Prohibited Data and Regulated Information

The Service is not designed, certified, or offered for storing or processing data subject to specialized regulatory regimes. You agree that you will not upload, input, generate, transmit, or process any of the following through the Service:

  • Protected Health Information (PHI) as defined by the U.S. Health Insurance Portability and Accountability Act (HIPAA) and related regulations. Archon is not a HIPAA Business Associate, and we will not sign a Business Associate Agreement (BAA).
  • Cardholder Data (including primary account numbers, card verification codes, or full magnetic stripe data) subject to the Payment Card Industry Data Security Standard (PCI-DSS). Payment processing is handled by Dodo Payments; do not paste card data into SOPs, documents, or any free-text field.
  • Financial records subject to the Sarbanes-Oxley Act (SOX), or any other data whose handling is governed by financial-reporting control regimes applicable to public companies.
  • Personal data of children under 16 (EU) or under 13 (U.S., per COPPA), or any data knowingly collected from minors.
  • Government-classified, export-controlled, or national-security information(including ITAR- or EAR-controlled technical data).
  • Biometric identifiers subject to BIPA (Illinois) or comparable state statutes.

You are solely responsible for ensuring the data you submit to the Service complies with this section. We reserve the right to remove or suspend access to any content that violates this policy and to terminate accounts of customers who persistently upload prohibited data. We are not liable for any regulatory penalty, fine, or damages arising from your submission of prohibited data to the Service in breach of this section.

6. Your Content

  • You retain ownership of all content you create, upload, or generate using the Service (SOPs, documents, voice recordings, company data).
  • You grant us a limited license to process, store, and display your content solely to provide the Service.
  • We do not claim ownership of your SOPs or company data.
  • You are responsible for ensuring your content does not violate any third-party rights.
  • We may use anonymized, aggregated usage data to improve the Service, but we will never share your identifiable content with other customers.

7. AI-Generated Content

  • SOPs generated by Archon are AI-assisted drafts. You are responsible for reviewing, editing, and approving all generated content before use.
  • Compliance checks are advisory only and do not constitute legal advice. Consult qualified professionals for regulatory compliance.
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose.
  • Gap detection recommendations are suggestions based on industry patterns and should be evaluated by your team.

8. Pricing and Payment

  • Free accounts are subject to usage limits (5 SOPs per month).
  • Paid plans are billed monthly or annually as selected at checkout.
  • Prices are in USD and may be updated with 30 days' notice.
  • Payments are processed by Dodo Payments. We do not store your payment card details.
  • Refunds are available within 14 days of initial purchase if you are unsatisfied. Contact us at romil@regnor.systems.
  • We reserve the right to suspend accounts with overdue payments.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, Regnor Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Regnor Systems, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

  • You may cancel your account at any time from your account settings.
  • We may suspend or terminate your account if you violate these Terms.
  • Upon termination, your right to use the Service ceases immediately.
  • We will retain your data for 30 days after termination to allow for data export, after which it will be permanently deleted.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with the changes, you may cancel your account.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration.
